How do you sell unlisted shares?
One way is to contact the company's management and ask whether they want to buy the shares themselves, or know of anyone else who is interested. The other is to go through us, where you reach our whole network instead of a single contact.
First and foremost, we recommend that you create an account on the platform and put your shares up for sale. You can do this even with companies we do not trade in today. We then review the company and come back to you with questions and a proposal. You are also welcome to email us at info@eqvor.com, and we will help you find a buyer for your unlisted shares.
How the trade completes
Settlement works differently depending on whether the unlisted shares are registered with Euroclear or not.
Euroclear-registered companies
For Euroclear-registered companies, settlement takes place through Alpcot AB with a DVP arrangement, Delivery versus Payment. Delivery of the shares and payment happen simultaneously, which eliminates counterparty risk and ensures a secure transfer of ownership for both buyer and seller.
Companies with their own share register
For companies that are not Euroclear-registered, we instead draw up a purchase agreement between the parties. The buyer transfers the payment according to the agreed terms and we make sure that the share transfer is correctly registered in the company's share register. In the companies where it is required, we also handle pre-emption and post-transfer purchase right processes under the articles of association or the shareholders' agreement.
What are your unlisted shares worth?
Without a stock market price, it has been hard to know what an unlisted holding is worth. With us you see real share prices in real time, together with price data, valuation multiples, key figures and funding history on every company page. That gives you a basis when you decide what price to ask.
Liquidity in unlisted shares
Shares that are not listed have lower liquidity, which means that they are harder to buy and sell than listed shares. Trading takes place within a more limited circle and not on an open exchange. That is exactly the limitation we are working to solve, by bringing buyers and sellers together on one and the same platform.
Exit: how others have made the journey
A sale is rarely just a transaction. In our podcast Vägen till exit we meet founders and CEOs who have been there all the way, together with entrepreneurs who have made an exit themselves and experts who know what the journey takes. A new episode every Tuesday.
If your company is heading for a listing instead, you will find upcoming IPOs in our IPO calendar.
