Investing in unlisted shares before they list

Unlisted shares are ownership stakes in companies that are not listed on a public stock exchange. Instead they are traded through brokers, such as Eqvor. That gives you the chance to join a company's journey at an early stage and to broaden your portfolio beyond funds and listed holdings.

The unlisted market has long been one of manual processes and little transparency. With Eqvor you see historical pricing, active buy and sell orders and the latest transactions in every company, so that you can compare the price you are prepared to pay with what the share has actually traded at. You can follow upcoming listings in the IPO calendar.

With Eqvor you can buy shares in unlisted companies, from smaller growth companies and startups to larger, internationally known businesses. See which companies can be traded in the list of unlisted shares, for example Koenigsegg, Blykalla, Stegra, Nordiska and Doktor.se.

How do you buy unlisted shares?

You choose the company, price and volume. After that everything happens digitally, from placing the order to matching, agreement and payment. It is faster and smoother than traditional broking.

How long a trade takes depends on the share, the size of the order and how complex it is, from a few minutes to a couple of weeks. We can never guarantee completion. Once the order has been completed, it usually takes five banking days before the shares and the payment have been transferred.

If the company is subject to pre-emption rights or post-transfer purchase rights (hembud), it says so on the company page, so that you know what applies before you place your order. Read more about how settlement, custody and post-transfer purchase rights work.

Settlement works differently depending on whether the shares are registered with Euroclear or not.

Euroclear-registered companies

For Euroclear-registered companies, settlement takes place through Alpcot AB with a DVP arrangement, Delivery versus Payment. Delivery of the shares and payment happen simultaneously, shares and money change owner at the same moment, which eliminates counterparty risk and ensures a secure transfer of ownership for both buyer and seller.

Companies with their own share register

For companies that are not Euroclear-registered, we instead draw up a purchase agreement between the parties. As the buyer, you transfer the payment according to the agreed terms and we make sure that the share transfer is correctly registered in the company's share register. In the companies where it is required, we also handle pre-emption and post-transfer purchase right processes under the articles of association or the shareholders' agreement.

Buying shares in unlisted companies: what it costs

Creating an account is completely free and you are not committed to anything. We charge no management fee, no structuring fee and no performance fee.

You only pay when a trade goes through. The transaction fee is usually 3% of the volume and can vary with the size of the order, which security it concerns and how complex the order is. If the order is not completed, you pay nothing. The minimum order value is 50,000 SEK.

You set the share price yourself when you place the order, and in the order view you see what you will pay in total, including the brokerage fee, before you send it. What applies to each trade is set out in the price list, which you will find under information on licences and supervision.

New share issues

Besides buying from an existing owner, you can take part in a new share issue. We can help with any new share issues in the companies.

The difference lies in where the money goes. When you buy from an existing owner, the payment goes to the seller and the number of shares in the company stays the same. In a new share issue, the company issues new shares and the capital goes to the company, often to finance growth, product development or expansion.

The subscription price is set before the issue opens and subscription takes place during a fixed period. Anyone who does not take part in an issue has their ownership stake diluted when more shares are issued, so it is worth understanding why the company is raising money and on what terms.

Risks of unlisted shares

When you invest in shares there is always a risk that you lose part or all of the capital you invested, so never invest more than you can afford to lose. Shares that are not listed have lower liquidity, which means that they are harder to buy and sell than listed shares. Unlisted companies are not subject to the same disclosure requirements as listed ones, which means that access to information can be more limited.

Fewer trades also mean larger price differences between trades, and that can make the share harder to value. There is no guarantee that there will be a buyer when you want to sell, and pre-emption rights, post-transfer purchase rights or terms in a shareholders' agreement can affect how and when a sale can go through.

Unlisted companies often raise new capital in several rounds, and every new share issue you do not take part in dilutes your ownership stake. Read up on the company, spread the risk across several holdings and invest with a time horizon that suits a market where it can take time to find a counterparty.
