How it works

On this page we go through how you trade unlisted shares, and answer common questions.

The company page in Eqvor's app: the share price performance, the key figures and the order panel with the Place buy order button.

A simple process

Trading unlisted shares has never been easier. Our digital service is designed to give investors a smooth, secure and efficient experience. Follow these steps to get started.

  1. Create an account

With Eqvor you register quickly and securely with Swedish or Norwegian BankID. In under 30 seconds you are on the platform and can start exploring investment opportunities. Creating an account is completely free and you are not committed to anything.

The app's login: the heading Welcome, the Log in with QR code button with the BankID mark, and the link Open BankID on this device.
  2. Go to the share you want to trade

Once you have created an account, you can explore unlisted companies that are available for trading, see market activity in real time and access aggregated data that has previously been hard to obtain.

On every company page you will find the funding history, key figures, price data, valuation ranges, ownership structure and other relevant company information. Everything is gathered in one and the same place.

The list of unlisted shares in the app, with buy and sell buttons, sectors, activity and a twelve-month chart for each company.
  3. Place your order directly on the platform

Enter price and volume and sign your order with BankID. The order becomes visible on the platform and our brokers help bring it to the attention of potential interested parties. No email chains or paperwork.

The order panel in the app with quantity, price, total amount and the Place buy order button.
  4. Sign the agreement

The agreement is signed on the platform, simply and securely with BankID.

The receipt in the app: the order agreement is signed with BankID.
  5. Receive the shares or the payment

If the company is connected to Euroclear, the shares are delivered to your custody account when you buy, and the payment to your bank or custody account when you sell.

If the company keeps its own share register, you are entered as an owner directly in the company's share register and receive proof of the entry. If you sell, the buyer pays the money to the account you specify.

Eqvor's approach

How we work

  • You own the shares directly, in your own name or through your holding company. No intermediary structures.
  • You can place buy and sell orders whenever you want. You are not locked in; you control your shares yourself.
  • You follow price data and trading in real time for the companies on the platform.

What you avoid

  • No ongoing fees
  • No hidden fees or mark-ups
  • No performance-based fees

How settlement works

Settlement works differently depending on whether the unlisted shares are registered with Euroclear or not.

For Euroclear-registered companies, settlement takes place through Alpcot AB with a DVP arrangement (Delivery versus Payment). Delivery of the shares and payment happen simultaneously, which eliminates counterparty risk and ensures a secure transfer of ownership for both buyer and seller.

For companies that are not Euroclear-registered, we instead draw up a purchase agreement between the parties. The buyer transfers the payment according to the agreed terms and we make sure that the share transfer is correctly registered in the company's share register.

In the companies where it is required, we also handle pre-emption and post-transfer purchase right processes under the articles of association or the shareholders' agreement.

How your unlisted holding is held

How your unlisted shares are held depends on whether the company is connected to Euroclear or not.

If the company is connected to Euroclear, your shares are held in an ordinary securities custody account, for example with Nordnet, Avanza or one of the major banks. The holding is managed within the regular securities system and appears directly in your custody account, just like listed shares.

If the company is not connected to Euroclear, you are instead registered directly in the company's share register. Many companies offer a digital service where you can see your holding; otherwise you receive proof showing how many shares you own.

Whatever the structure, your ownership is formally registered – either through your custody account or directly in the company's share register.

What Euroclear means

When you invest in unlisted shares, the company can either be Euroclear-registered or not. The difference is about how ownership is administered and registered.

A Euroclear-registered company has its shares connected to the Swedish securities system. Ownership is registered electronically and managed centrally, which means that your shares are held in an ordinary securities custody account.

If the company is not Euroclear-registered, the company instead keeps its own share register. Changes of ownership are then handled by the company or by an external share register administrator, and the shares do not appear in a traditional securities custody account.

So the difference lies in how ownership is administered. Whatever the structure, your ownership is legally valid and correctly registered.

How pre-emption and post-transfer purchase rights work

When you trade unlisted shares, a transaction may be subject to a post-transfer purchase right (hembud) or a pre-emption right. It is a common part of the ownership structure in unlisted companies and affects how a transfer is carried out.

A pre-emption right means that existing shareholders have the right to acquire the shares before they are transferred to a new investor. A post-transfer purchase right (hembud) works in a similar way, but usually means that existing shareholders are given the opportunity to redeem the shares after a transfer has taken place, on the same terms as the completed trade.

Every company page clearly states whether the company is subject to post-transfer purchase rights or pre-emption processes, so that as an investor you know which conditions apply before you carry out a trade.

If a transaction is subject to a post-transfer purchase right or pre-emption, we handle the process from start to finish. We are responsible for the communication with the company and make sure that deadlines are met and that the process is documented correctly.

Frequently asked questions about Eqvor

What is Eqvor?

Eqvor is a platform for secondary transactions in unlisted companies, where you can buy and sell shares digitally, without unnecessary intermediaries or high fees.

By gathering price history, previous transactions, key figures, valuation ranges and company information in one and the same place, we make it easier for investors to make well-founded decisions.

Whether you are a professional investor, an entrepreneur with unlisted holdings or new to the segment, Eqvor offers a structured way into a market that has previously been hard to navigate.

What services does Eqvor offer?

Broking of unlisted shares. Eqvor acts as a broker between buyers and sellers who want to do unlisted deals, with fair pricing and digital trading.

Transaction handling and settlement. We offer a structured and secure process for carrying out trades, including settlement and payments, contract management and the handling of post-transfer purchase rights.

Market data and analysis. We provide access to current and historical price history, live buy and sell orders, valuations, ownership structure, trends and financial key figures.

Who can use Eqvor?

Individual investors who want to invest in unlisted companies before a listing. The account is created with Swedish or Norwegian BankID.

Institutional investors who want access to first-hand data, and help with putting together and carrying out larger buy and sell mandates.

Funds, VC and PE firms that want to buy or sell unlisted shares, including larger blocks.

Shareholders who want to value their holdings and make changes to their portfolio.

Companies that want to offer flexible liquidity solutions to employees who own shares or options.

Why should I choose Eqvor?

Eqvor creates structure, transparency and accessibility in a market long characterised by manual processes and a lack of insight.

Supervision and security. Eqvor is a tied agent of Alpcot AB, a Swedish investment firm authorised by Finansinspektionen, the Swedish Financial Supervisory Authority. The business is therefore conducted under supervision and in accordance with applicable regulations.

A platform built for transparency. You get insight into historical pricing, active orders, recent transactions and other company data, so that both buyers and sellers can make well-founded decisions.

Data-driven decisions. You get access to aggregated market data and real-time feeds, and can compare pricing over time, understand trends and follow ownership structure and valuation levels.

Smooth, digital transactions. We handle the whole process, from matching to completed trade, including contract management, payment flow and delivery.

How long does it take to complete an order?

It depends on which security it concerns, the size of the order and any other complexity. It can take anything from a few minutes to a couple of weeks. We can never guarantee completion.

Once an order has been completed, it usually takes five banking days before the shares and the payment have been transferred to the buyer and the seller in the trade.

What are your fees?

The transaction fee is usually 3% of the volume. It can vary depending on the size of the order, which security it concerns and the complexity of the order. If the order is not completed, you pay nothing.
